Medelz Token Awards Program Policy

1. Introduction

This Medelz Token Awards Program Policy (the “Policy”) governs the use, award, redemption, and management of Medelz Tokens (“Tokens”) issued through the Medelz platform (“Medelz” or the “Platform”). By participating in this program, you agree to comply with this Policy and the Medelz Terms of Service, Privacy Policy, and Fee Policy.

Participation in the Medelz Token Awards Program is subject to all applicable laws and platform rules. If you are under the legal age of majority in your jurisdiction, you must have permission from a parent or legal guardian to participate.

2. Eligibility

Participation in the Medelz Token Awards Program is available to registered Medelz users in good standing. Accounts found to be in violation of Medelz Terms of Service may be suspended or terminated, and any Tokens accrued may be forfeited.

3. Program Activities

Medelz Tokens are awarded to users as part of various platform activities, such as fan support, contest rankings, or recognition of creative performance. Token earning opportunities and amounts are determined solely by Medelz and may change at any time.

4. Purchases and Redemption

Users may purchase Medelz Tokens through approved payment methods. Tokens can be redeemed by eligible artists for monetary value at a fixed rate of up to $0.05 USD per Token, net of applicable deductions and fees as described in Section 4A, subject to Medelz verification and applicable taxes or fees.

All purchases of Medelz Tokens are final and non-refundable, except where required by law. Refund determinations related to Tokens follow the principles set forth in the Fee Policy. Refunds, if granted, will exclude processing fees and will be issued through the same payment method used for purchase.

4A. Redemption Deductions and Adjustments

The redemption value of Medelz Tokens is determined on a net basis, after deduction of all applicable fees and costs incurred by Medelz in operating the Platform and facilitating redemptions.

These deductions may include, but are not limited to:

• Third-party payment processing fees (e.g., Stripe, PayPal, or equivalent);
• Third-party platform fees such as commissions or service charges by Google Play Store, Apple App Store, or similar marketplaces (which may be up to 30%);
• Infrastructure and operational costs associated with cloud hosting, content delivery networks, and related services (including AWS, Cloudflare, or similar providers);
• Marketing, administrative, and transaction-handling costs related to maintaining the Token Awards Program.

The amount payable upon redemption reflects the net proceeds remaining after such deductions. Medelz reserves the right to revise or apply these deductions at its discretion and to modify the redemption value or fee structure at any time, with or without notice.

Medelz may publish general guidance about the nature or range of applicable deductions for transparency, but no user shall have any claim or entitlement to gross, pre-deduction redemption amounts.

4B. Chargebacks and Set-Off

If any underlying transaction funding Tokens is refunded, reversed, or charged back, Medelz may (i) reverse associated Tokens, (ii) offset or withhold current or future redemptions, or (iii) require repayment of amounts previously paid out. Medelz may place holds, impose limits, or delay redemptions while investigating suspected fraud or payment disputes.

4C. Compliance Screening

Medelz may require identity verification (KYC), tax information, and sanctions screening (e.g., OFAC, UK, EU lists) before enabling redemption. Medelz may deny or limit redemption, impose thresholds, or close accounts where required by applicable AML, CTF, export-control, or sanctions laws.

5. Nature of Tokens and Legal Status

Medelz Tokens are virtual digital tokens representing recognition within the Medelz Platform. They do not represent any deposit, investment, financial instrument, or legal currency and have no intrinsic or exchange value outside the Platform.

Medelz Tokens are a limited, revocable, non-transferable license to access certain features of the Platform and may be modified, withheld, or revoked by Medelz at any time. Tokens are not property and confer no ownership or shareholder rights of any kind.

6. Token Usage and Restrictions

• Tokens may only be used or redeemed within Medelz for approved purposes as determined by Medelz.
• Tokens cannot be transferred, sold, traded, gifted, or exchanged outside the Platform.
• Medelz may, in its discretion, limit the total number of Tokens a user may hold or redeem.
• Medelz Tokens expire and are forfeited upon account termination or 24 months of account inactivity, whichever occurs first, unless otherwise required by law.

7. Taxes and Reporting

Artists and users who redeem Tokens for monetary value are responsible for any applicable tax obligations, including income or withholding taxes, that may arise from redemption or earnings. Medelz may report or withhold taxes as required by law.

VAT/GST Pricing. Where required by law, consumer-facing prices will be displayed inclusive of VAT/GST. Medelz or its payment partners may collect and remit VAT/GST and may adjust tax treatment based on your location and tax status.

8. Disclaimer and Limitation of Liability

Medelz provides the Token Awards Program “as is” and makes no warranties, express or implied, regarding merchantability, fitness for a particular purpose, or continuity of the Program.

To the maximum extent permitted by law, Medelz shall not be liable for any loss, claim, or damage arising from participation in, or inability to access, the Token Awards Program. Users agree that Medelz’s aggregate liability related to Tokens shall not exceed the monetary value of Tokens earned but not yet redeemed at the time of claim.

9. Termination and Forfeiture

Medelz reserves the right to suspend or terminate any account or Token balance for suspected fraud, misuse, or violation of Medelz policies. Upon termination, any unredeemed Tokens will be forfeited.

10. Modifications and Term Updates

Medelz reserves the right to modify, suspend, or terminate this Policy or the Token Awards Program at any time, with or without notice. Continued participation after such changes constitutes acceptance of the revised Policy.

This Policy supersedes all prior versions of the Medelz Token Awards Program Policy.

11. Governing Law and Incorporation

This Policy is incorporated by reference into and forms part of the Medelz Terms of Service. All disputes or claims arising from or relating to this Policy shall be governed by, and resolved in accordance with, the laws, jurisdiction, and dispute-resolution procedures set forth in the Terms of Service.
